Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the services provided by Nivara Digital ("we", "us", "the Company"). By engaging our services, you agree to be bound by these Terms in full.

1.1 Acceptance

Your continued use of our services constitutes acceptance of any revisions to these Terms as published on this page from time to time.

2. Definitions

For the purposes of these Terms, the following definitions apply:

"Services"
means the marketing and consulting work described in your engagement letter.
"Client"
means the business or individual purchasing Services.
"Deliverables"
means any reports, creative, or assets produced under an engagement.

3. Scope of Services

The specific scope, timeline and fees for each engagement are set out in a separate statement of work. The following table summarises standard engagement tiers:

4. Fees & Payment

All fees are quoted in Indian Rupees (₹) and are exclusive of applicable Goods and Services Tax (GST), which will be added to invoices at the prevailing rate. Payment terms are net 7 days unless otherwise agreed in writing.

4.1 Late payment

Overdue invoices may attract interest at 1.5% per month. We reserve the right to pause Services on accounts more than 15 days overdue.

5. Client Obligations

The Client agrees to provide timely access to accounts, assets and approvals reasonably required for us to perform the Services.

6. Intellectual Property

Ownership of Deliverables transfers to the Client upon full payment, subject to any third-party licences.

7. Liability

Our aggregate liability under any engagement is limited to the fees paid in the three months preceding the claim.

8. Governing Law

These Terms are governed by the laws of India, and any disputes are subject to the exclusive jurisdiction of the courts of Pune, Maharashtra.
